1. About These Terms

These Terms and Conditions govern your use of Feliz Digital Ltd's marketing services and website. By engaging our services or using our website, you agree to be bound by these terms.

2. Our Services

Feliz Digital Ltd provides guerrilla marketing and digital marketing services including but not limited to:

• Marketing strategy development and implementation
• Digital advertising and social media campaigns
• Brand activation and creative campaigns
• Analytics and marketing optimization
• Creative content production
• Viral marketing strategies

3. Service Agreements

Project Scope

All services will be defined in a separate project agreement or statement of work. The scope, timeline, deliverables, and fees will be specified in writing before work begins.

Client Responsibilities

Clients are responsible for:

• Providing accurate and timely information
• Reviewing and approving deliverables promptly
• Ensuring necessary approvals and permissions
• Making payments according to agreed terms

4. Payment Terms

• Payment schedules will be specified in individual project agreements
• Invoices are due within 30 days unless otherwise specified
• Late payments may incur additional charges
• Work may be suspended for overdue accounts
• All fees are in addition to applicable taxes

5. Intellectual Property

Client-Owned Materials

Clients retain ownership of their pre-existing intellectual property, trademarks, and brand materials.

Work Product

Upon full payment, clients will own the final deliverables specifically created for their project. Feliz Digital retains the right to use work samples for portfolio and promotional purposes.

Feliz Digital IP

Our methodologies, processes, and general know-how remain our intellectual property.

6. Confidentiality

We maintain strict confidentiality of all client information and expect the same regarding our business practices and methodologies. Non-disclosure agreements may be required for sensitive projects.

7. Performance and Results

While we strive for excellent results, marketing outcomes depend on various factors beyond our control. We do not guarantee specific results, sales figures, or return on investment unless explicitly stated in writing.

8. Limitation of Liability

Our liability is limited to the fees paid for the specific service giving rise to the claim. We are not liable for indirect, consequential, or punitive damages.

9. Termination

By Either Party

Either party may terminate services with 30 days written notice. Payment for work completed up to termination date is due.

For Cause

Either party may terminate immediately for material breach that remains uncured after 15 days written notice.

10. Force Majeure

Neither party will be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, or other unforeseeable events.

11. Governing Law

These terms are governed by Israeli law. Any disputes will be resolved in the courts of Tel Aviv, Israel.

12. Changes to Terms

We may update these terms periodically. Continued use of our services after changes constitutes acceptance of new terms.

13. Website Use

Our website is provided "as is" for informational purposes. We reserve the right to modify or discontinue the website at any time.
